Our client is an in-house team of a multinational scaleup. The team wanted to focus on matters that are mission-critical for their business. We started supporting our client by taking the routine corporate work of their load. We prepared board and stockholders’ consents, conducted corporate reorganizations, drafted internal policies and advised on subsidiary management. We also took care of share transfers and share issuances. We provided stock plan management and cap table management services. The in-house team can now concentrate on commercial matters, knowing that they have a corporate counsel who is familiar with the company and can provide corporate law advice when needed.
Outside General Counsel
Our client, a U.S.-based startup with a subsidiary in Central Europe, was growing their business in the United States. They have not reached the scale to make their first in-house counsel hire and they turned to us for outside general counsel services. We provide them with guidance on matters related to corporate governance, employment, engagement of vendors, intellectual property and licensing issues. We created custom SaaS contract templates, ensuring that the contract addresses the typical pushbacks that they receive from their clients, reflects their risk profile, and accurately describes the services they provide. We directly engage in contract negotiations if needed, which helps our client to close deals with big corporate accounts.
Commercial Contracts
We partnered with a U.S.-based startup with a subsidiary in Central Europe to help them with deal with vendors and other inbound agreements. Due to a lack of legal support, our client had previously locked himself into contracts with unfavorable terms that were difficult to deal with. We integrated into our client’s workflows and supported internal stakeholders with the reviewing, re-drafting and negotiation of in-bound agreements. We help them to handle a variety of commercial contracts, technology agreements, and vendor contracts: SaaS agreements, MSAs, marketing agreements, reseller agreements, recruitment, cloud services and other IT-related agreements. Our client was able to outsource the legal review of lengthy agreements to us and focus on the commercial side of onboarding new critical vendors.
Corporate Flip to the United States
Our client, a startup incorporated in Central Europe wanted to flip up their business to the United States. Their product was very successful there and they wanted to secure a new round of funding from U.S.-based investors. We incorporated a new parent company in the U.S. and reorganized the structure of the client’s corporate group. Our client had already equity investors on board, so we negotiated a new NVCA-style shareholders agreements and issued preferred shares in the newly established parent to the existing investors. We also prepared an Equity Incentive Plan to allow our client to give its European- and U.S.-based employees and advisors options in the parent company. Our client is now ready to proceed with the new round of funding.
Series Seed Round – Investor Side
Our client is a venture capital fund that invests in early-stage companies. We helped them with completing their first investment in a U.S.-based startup. We conducted due diligence on the target company and reviewed and negotiated NVCA-style transaction documents. The target company was a spin-off from a prior venture of the founders, therefore we made sure that the intellectual property rights were properly transferred to the target company prior to the financing. We focused on ensuring that our client receives the set of rights that are adequate for an early-stage investor and that his rights as a minority shareholder are protected. We successfully closed the seed round and later represented our client in a bridge convertible financing of the same portfolio company.
Series A Round – Startup Side
We represented our U.S.-based client in a Series A Round. We advised the founders on their rights as common shareholders and made sure that the corporate governance and voting structure secures their interest in the long run. We also assisted our client in the due diligence process and helped to answer investors’ questions. We prepared and modeled the pro forma cap table. The round was successfully closed. We later helped our client with share issuances and the completion of their post-closing obligations toward investors. We also assisted with a secondary sale that was happening as a part of the transaction.
